These Terms of Service (“Terms”) and our Privacy Notice (“Privacy Notice”) form a legal agreement between you and Dash2Grow Inc., a company incorporated under the federal laws of Canada, with its registered office at 7 Bayview Station Rd, Ottawa, ON K1Y 2C5, Canada (“Dash2Grow”). These Terms govern your use of the website located at https://dash2grow.com, the Dash2Grow application, and any related services, features and content provided by Dash2Grow Inc. (together, the “Services“). “Services” and “Service” mean the same thing in these Terms.
By accessing https://dash2grow.com, you agree to abide by these Terms and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by Dash2Grow Inc. The website is available only to individuals who are at least 18 years old.
YOU ACKNOWLEDGE AND AGREE THAT BY ACCEPTING THESE TERMS, OR ACCESSING OR USING THE SERVICE, YOU WILL BE BOUND BY THESE TERMS. If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
Dash2Grow reserves the right, at its sole discretion, to modify, discontinue or terminate the Service or to modify these Terms, at any time. These Terms can be viewed at any time at https://dash2grow.com/legal/terms. If we modify these Terms, we will post the modified Terms there and update the “Last updated” date above. By continuing to access or use the Service after we have modified the Terms, you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, you agree to immediately stop using the Service.
1. Agreement to Terms
By using our Services, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, do not use the Services. If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” and “your” will refer to that entity.
2. Privacy Notice
Please review our Privacy Notice, which also governs your use of the Services, for information on how we collect, use and share your information.
3. Changes to these Terms or the Services
We may update the Terms from time to time in our sole discretion. If we do, we’ll let you know by posting the updated Terms on the Site and/or may also send other communications. It’s important that you review the Terms whenever we update them or you use the Services. If you continue to use the Services after we have posted updated Terms it means that you accept and agree to the changes. If you don’t agree to be bound by the changes, you may not use the Services anymore. Because our Services are evolving over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.
4. Who May Use the Services?
You may use the Services only if you are 18 years or older and capable of forming a binding contract with Dash2Grow, and not otherwise barred from using the Services under applicable law.
For certain features of the Services you will need an account. It is important that you provide us with accurate, complete and current account information and keep this information up to date. If you don’t, we might have to suspend or terminate your account. To protect your account, keep the account details and password confidential, and notify us right away of any unauthorized use. You are responsible for all activities that occur under your account.
5. Feedback
We appreciate feedback, comments, ideas, proposals and suggestions for improvements to the Services (“Feedback”). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you.
6. Subscriptions
⚠️ No paid Subscription is currently offered. The Services are not yet generally available for purchase, so nothing in this Section about paying, renewing, refunds or plans applies to you today. ⚠️ Section 6(f), Fair Usage, is the exception: it applies now, to every account, paid or not. The rest applies from the moment a paid Subscription is offered, and the price, the billing period, the renewal terms, the cancellation terms and the refund terms will be stated in full — here and at the point of purchase — before any purchase is possible.
Where the Services are offered for a fee, Dash2Grow requires payment of that fee and you agree to pay it.
6(a) General
When you purchase a subscription for the Services (“Subscription”), you expressly authorize us (or our third-party payment processor) to charge you for such Subscription. We may ask you to supply additional information relevant to your Subscription, including your credit card number, the expiration date of your credit card and your email and postal addresses for billing and notification (such information, “Payment Information”). You represent and warrant that you have the legal right to use all payment method(s) represented by any such Payment Information. When you initiate a Subscription, you authorize us to provide your Payment Information to third parties so we can complete the transaction related to your Subscription and to charge your payment method for the type of Subscription you have selected (plus any applicable taxes and other charges). You may need to provide additional information to verify your identity before completing your Subscription (such information is included within the definition of Payment Information). By initiating a Subscription, you agree to the pricing, payment and billing policies applicable to such fees and charges, as posted or otherwise communicated to you. All payments for Subscriptions are non-refundable and non-transferable except as expressly provided in these Terms. All fees and applicable taxes, if any, are payable in Canadian dollars (CAD).
6(b) Monthly Subscriptions
If you purchase a Subscription, you will be charged the monthly Subscription fee, plus any applicable taxes, and other charges (“Subscription Fee”), at the beginning of your Subscription and each month thereafter, at the then-current Subscription Fee. BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE DASH2GROW TO INITIATE RECURRING NON-REFUNDABLE MONTHLY PAYMENTS AS SET FORTH BELOW. If you purchase a Subscription, we (or our third-party payment processor) will automatically charge you each month on the anniversary date of the commencement of your Subscription, using the Payment Information you have provided until you cancel your Subscription. By agreeing to these Terms and electing to purchase a Subscription, you acknowledge that your Subscription has recurring payment features and you accept responsibility for all recurring payment obligations prior to cancellation of your Subscription by you or Dash2Grow. Your Subscription continues until cancelled by you or we terminate your access to or use of the Services or Subscription in accordance with these Terms.
6(c) Cancelling Your Subscription
You may cancel your Subscription at any time, through your account settings or by emailing legal@dash2grow.com. Cancellation will be effective at the end of your then-current billing period, and you will continue to have access to the paid Services until that date, after which your access will terminate without further charges. We do not provide refunds for partial billing periods, except (i) as provided by the refund terms in Section 6(e), and (ii) if we cancel a transaction on our side for any reason, in which case we will refund any payment already remitted to us for that transaction. You will remain responsible for all Subscription Fees (plus any applicable taxes and other charges) incurred for the then-current billing period.
6(d) Free Trials
Where we offer a free trial, it does not require a credit card and it does not automatically convert into a paid Subscription. ⚠️ The length of the trial, and what happens at the end of it, will be stated here and at sign-up before any trial begins. If and when you purchase a paid Subscription, the billing terms in Sections 6(a) through 6(c) apply from the date of purchase. Free trials are intended for users who have not previously held a paid Subscription, and we may limit, condition, or withdraw trial eligibility to prevent abuse.
6(e) Refunds
⚠️ The refund terms that will apply to a paid Subscription are not yet stated, and will be set out here before any Subscription is offered. Nothing in this Section limits a refund right you have under applicable law.
6(f) Fair Usage Policy
As part of our commitment to providing a high-quality, fast, and reliable service, Dash2Grow maintains a Fair Usage Policy to prevent excessive use that would degrade the experience for all users. We expect every user to use the platform in a reasonable and responsible manner.
⚠️ Plan limits are not yet stated. They will be set out here before any plan is offered.
Once plan limits are stated, usage significantly above your plan’s limits in a given billing period is considered outside normal usage. Dash2Grow reserves the right to temporarily throttle or suspend access for accounts exhibiting abnormal usage patterns that affect service quality for other users.
Sharing your account credentials with anyone else is prohibited, and that includes sharing them beyond the number of member seats a plan includes, where a plan includes a set number. We reserve the right to investigate abnormal usage patterns, including high-volume usage in short periods and credential sharing. Accounts found in violation may be throttled, suspended, or permanently terminated without notice. Any refund on termination under this Section will be governed by the refund terms in Section 6(e) once those are stated, and by any refund right you have under applicable law.
If your usage requirements exceed your current plan, please contact us at legal@dash2grow.com and we will discuss the options available at the time.
6(g) Auto-Renewal, Recurring Charges, and Your Consent
⚠️ This Section describes how paid Subscriptions WILL work; none is offered today (Section 6), and it does not apply to a free trial, which Section 6(d) says does not convert into a paid Subscription. Where a paid Subscription is offered and you purchase one, it will automatically renew. You will be enrolling in an automatically renewing subscription that will continue, and your payment method will be charged the then-current Subscription Fee (plus any applicable taxes and other charges) on a recurring basis at the start of each billing period, until you cancel. For monthly Subscriptions the recurring charge occurs each month; for annual Subscriptions, if offered, the recurring charge occurs each year. The billing frequency, the renewal term, and the amount of the recurring charge will be disclosed to you at the point of purchase, before you complete your purchase.
By providing your Payment Information and completing your purchase, you affirmatively consent and agree to these automatically recurring charges, without the need for further authorization from you, until you cancel. You may cancel at any time as described in Section 6(c), and cancellation will stop future recurring charges as set out in that Section. Where required by applicable law, we will send you a reminder or renewal notice before a renewal charge and will make available any additional cancellation methods required by law. This Section is intended to comply with automatic-renewal and recurring-payment laws, including the California Automatic Renewal Law and comparable laws in other U.S. states and jurisdictions, which require clear and conspicuous disclosure of renewal terms, your affirmative consent to those terms, and an easy-to-use means of cancellation.
7. Your Content
7(a) Posting Content
Our Services may allow you to store or share content such as text (in posts or communications with others), files, documents, graphics, images, music, software, audio and video. Anything (other than Feedback) that you post or otherwise make available through the Services is referred to as “User Content.” Dash2Grow does not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to your User Content.
7(b) Permissions to Your User Content
By making any User Content available through the Services you hereby grant to Dash2Grow a non-exclusive, worldwide, royalty-free, fully paid-up license — transferable only to a successor that acquires the Services, and only on the same terms — with the right to sublicense to the service providers and AI Providers (as defined in Section 7(g)) that process it on our behalf — the current list is in our Privacy Notice, to use, host, store, copy, communicate, modify, create derivative works based upon, distribute, publish, publicly display, and publicly perform your User Content for the purpose of providing, operating, securing, and improving the Services. This licence runs for as long as we hold the User Content. Section 7(d) and the retention section of our Privacy Notice describe what happens when you delete it, including that some copies may continue to exist. To the fullest extent permitted by applicable law, you hereby waive, and agree not to assert against Dash2Grow or its sublicensees, any moral rights (including rights of attribution and integrity) you may have in your User Content in connection with the uses licensed above.
7(c) Your Responsibility for User Content
You are solely responsible for all your User Content. You represent and warrant that you have (and will have) all rights that are necessary to grant us the license rights in your User Content under these Terms. You represent and warrant that neither your User Content, nor your use and provision of your User Content to be made available through the Services, nor any use of your User Content by Dash2Grow on or through the Services will infringe, misappropriate or violate a third party’s intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
7(d) Removal of User Content
You can remove your User Content by specifically deleting it. You should know that in certain instances, some of your User Content (such as posts or comments you make) may not be completely removed and copies of your User Content may continue to exist on the Services. To the maximum extent permitted by law, we are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any of your User Content. ⚠️ This does not affect the deletion commitments and the erasure right in our Privacy Notice, which apply to personal information and are not limited by this Section.
7(e) Your Use of Generated Content
As used in these Terms, “Generated Content” (also referred to as “AI-generated outputs” or “outputs“) means the content that the artificial-intelligence models made available through the Services generate in response to, or based upon, the inputs you submit through the Services. Subject to your compliance with these Terms, Dash2Grow hereby grants you a non-exclusive, worldwide license, with the right to sublicense, to use, copy, modify, sell, create derivative works based upon, distribute, publicly display, and publicly perform Generated Content for your lawful business purposes.
7(f) Ownership of Intellectual Property
The Services, and the content and materials that Dash2Grow makes available through the Services (other than User Content and Generated Content), are owned by Dash2Grow and its licensors, who retain all rights in and to them. Ownership of Generated Content is addressed in Sections 7(g) and 17(a): Dash2Grow does not claim ownership of Generated Content produced from your inputs, and to the extent any rights in Generated Content exist and are held by Dash2Grow or its licensors, they are retained subject only to the license granted to you in Section 7(e). Except for the rights and licenses expressly granted to you in these Terms, all rights in and to the Services and such content are reserved to Dash2Grow and its licensors.
7(g) AI Generated Content: No Warranties; User Assumes All Risk
Dash2Grow’s Services are powered by third-party artificial intelligence providers, including but not limited to Anthropic PBC and OpenAI LLC, and other providers we may use from time to time (collectively, “AI Providers”). The current list of AI Providers and other subprocessors is maintained in our Privacy Notice. The generation of content through the Services is subject to the terms, policies, and usage guidelines of those AI Providers as may be updated from time to time.
DASH2GROW MAKES ABSOLUTELY NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED, REGARDING ANY AI-GENERATED OUTPUTS, INCLUDING BUT NOT LIMITED TO: (A) THAT OUTPUTS DO NOT INFRINGE ANY THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS, INCLUDING COPYRIGHTS, TRADEMARKS, PATENTS, OR TRADE SECRETS; (B) THAT OUTPUTS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE; (C) THAT OUTPUTS ARE FIT FOR ANY PARTICULAR PURPOSE OR LAWFUL USE; OR (D) THAT OUTPUTS DO NOT CONTAIN DEFAMATORY, HARMFUL, OFFENSIVE, MISLEADING, OR OTHERWISE OBJECTIONABLE CONTENT.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- You assume sole and complete responsibility for reviewing, verifying, and determining the suitability and lawfulness of all AI-generated outputs before any use, publication, distribution, or reliance thereon.
- You assume all risks associated with your use of AI-generated outputs, including all risks of intellectual property infringement, inaccuracy, illegality, and harm to third parties.
- Dash2Grow is not responsible for and expressly disclaims all liability for any use you make of AI-generated outputs, including any claims arising from copyright infringement, defamation, privacy violations, false advertising, or any other harm caused by content generated through the Services.
- No ownership is transferred. Dash2Grow does not claim ownership of AI-generated outputs produced from your inputs. Any rights in such outputs are subject to the applicable terms of the AI Providers whose models produced them. You are solely responsible for understanding and complying with those terms.
- You will indemnify and hold Dash2Grow harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of AI-generated outputs; (b) any intellectual property infringement claim arising from such outputs; (c) any content you submit to the Services; and (d) your violation of these Terms or applicable law.
BY USING THE SERVICES, YOU EXPRESSLY AGREE TO ASSUME ALL RISKS DESCRIBED IN THIS SECTION. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
7(h) Library and Shared Building Blocks
The Services include a library of prompts, agents, skills, and other AI building blocks (“Building Blocks”). Some Building Blocks are provided by Dash2Grow; others may be shared by users, either publicly or within a team. Building Blocks are provided “as is.” Dash2Grow does not guarantee that any Building Block is accurate, safe, or fit for your purpose, and making a Building Block available is not an endorsement of it. A Building Block is a set of instructions that can direct an AI to read files, call tools, and send output elsewhere, so you should review any Building Block before you run it. You are solely responsible for how you use Building Blocks and for any Building Block or other content you share through the Services. Dash2Grow may review, remove, or disable any shared Building Block at its sole discretion. Dash2Grow does not sell user-shared Building Blocks and is not a party to any arrangement between users who share them. Our Building Block Library Terms set out how Building Blocks are licensed, where they come from, and what applies if you share one.
7(i) How We Use Your Inputs; No Training of Our Own Models
We use your User Content, the inputs you submit, and the resulting Generated Content to operate, provide, secure, support, and improve the Services, as described in these Terms and our Privacy Notice. Dash2Grow does not use your User Content, your inputs, or your Generated Content to train, fine-tune, or develop any artificial-intelligence or machine-learning models of our own, and we do not sell them. We may, however, use aggregated and de-identified information about how the Services are used (information that cannot reasonably be used to identify you) to analyze patterns and to improve and develop the Services, including our library of prompts, agents, skills, and other building blocks. To deliver the Services, your inputs are transmitted to and processed by the third-party AI Providers described in Section 7(g). Those AI Providers handle your inputs and outputs under their own terms and policies, which may differ from ours; whether an AI Provider uses submitted content to improve or train its own models is governed by that provider’s terms, not by Dash2Grow. The current list of AI Providers and other subprocessors is maintained in our Privacy Notice, and we encourage you to review the applicable AI Provider terms before submitting content you consider sensitive.
8. Usage Requirements, General Prohibitions, and Dash2Grow’s Enforcement Rights
8(a) You agree that you will use the Services:
- Only in a lawful manner and in compliance with all applicable laws;
- In accordance with the Terms, the license granted in Section 7(e), and any documentation, usage guidelines, parameters, and other requirements provided to you by Dash2Grow or its licensors, as may be modified by Dash2Grow or its licensors from time to time;
- In a manner that does not infringe, misappropriate, or otherwise violate any of Dash2Grow’s or its licensors’ rights or those of any other person or entity;
- In compliance with the acceptable use policies of the AI Providers whose services power the platform, including but not limited to Anthropic’s Acceptable Use Policy and OpenAI’s Usage Policies, and the acceptable use or usage policies of any other AI Providers we may use from time to time, as each may be updated;
- In a manner that does not violate these Terms, any agreement between you and anyone else, or our or a third party’s rights; and
- In compliance with, and you will not attempt to circumvent, any call rate limits or other restrictions that may be established by Dash2Grow or its licensors from time to time.
You further agree that you will make reasonable efforts to reduce the likelihood, severity, and scale of any societal harm caused by your use of the Services (including the use and sharing of Generated Content). Dash2Grow may request information from you regarding your efforts to reduce safety risks, and you agree to provide such information. Such information may be used to assess compliance with these Terms as well as to inform improvements to the Services.
8(b) You agree not to do any of the following:
- Post, upload, publish, submit or transmit any User Content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or (vii) promotes illegal or harmful activities or substances;
- Distribute, sell, lend, transfer or grant any rights in or to any or all of the Services (except for Generated Content as permitted under this Agreement);
- Create any software that functions substantially the same as the Services (including any component thereof) and offer it to third parties;
- Modify, alter, tamper with, repair or otherwise create derivative works (except as permitted by Section 7(e)) of the Services, or attempt to do so;
- Use the Services in connection with any spyware, malware, virus, worm, trojan horse, or other malicious or harmful code, or any software application not expressly and knowingly authorized by users prior to being downloaded or installed on their computer or other electronic device;
- Use the Services to discover any underlying components of Dash2Grow’s or its licensors’ models, algorithms, and systems, such as exfiltrating the weights of any models by cloning via logits;
- Remove, obscure, or alter any notice, including any notice of intellectual property right appearing on or contained within the Services (including any component thereof);
- Interfere or attempt to interfere in any manner with the functionality or proper working of the Services (including any component thereof);
- Use, display, mirror or frame the Services or any individual element within the Services, Dash2Grow’s name, any Dash2Grow trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Dash2Grow’s express written consent;
- Access, tamper with, or use non-public areas of the Services, Dash2Grow’s computer systems, or the technical delivery systems of Dash2Grow’s providers;
- Attempt to probe, scan or test the vulnerability of any Dash2Grow system or network or breach any security or authentication measures, except as expressly authorised by our Responsible Disclosure policy at https://dash2grow.com/responsible-disclosure/;
- Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by Dash2Grow or any of Dash2Grow’s providers or any other third party (including another user) to protect the Services;
- Attempt to access or search the Services or download content from the Services using any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software and/or search agents provided by Dash2Grow;
- Use web scraping, web harvesting, or web data extraction methods to extract data from the Services (including Generated Content), or Dash2Grow’s, its licensors’, and their affiliates’ software, models, or systems;
- Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
- Use any meta tags or other hidden text or metadata utilizing a Dash2Grow trademark, logo URL or product name without Dash2Grow’s express written consent;
- Resell, sublicense or otherwise make the Services themselves available to any third party, except as expressly permitted by these Terms. ⚠️ This does not restrict your own business use of the Services, including use for your clients’ benefit — see Section 17(i);
- Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive or false source-identifying information;
- Decipher, decompile, disassemble, reverse assemble, reverse compile, translate, or reverse engineer any component or software used to provide the Services, discover the source code of any component of the Services, or attempt to do any of the foregoing;
- Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
- Collect or store any personally identifiable information from the Services from other users of the Services without their express permission;
- Impersonate or misrepresent your affiliation with any person or entity;
- Provide or upload to the Services any special-category personal data — personal data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade-union membership, and genetic data, biometric data used to identify a person, data concerning health, or data concerning a person’s sex life or sexual orientation (Article 9 of the GDPR and UK GDPR) — or any information that is “Protected Health Information” as defined under the US Health Insurance Portability and Accountability Act;
- Use the Services in a way that causes societal harm including, but not limited to, (i) misleading end users that any Generated Content was human-generated for generative use cases that do not involve a human in the loop, (ii) generating spam, and (iii) generating content for dissemination in electoral campaigns;
- Use the Services in a way that violates any applicable law or regulation including, but not limited to, (i) illegal activities such as child pornography, gambling, piracy, violating copyright, trademark or other intellectual property laws, (ii) accessing or authorizing anyone to access the Services from an embargoed country as prohibited by applicable law, and (iii) threatening, stalking, defaming, defrauding, degrading, victimizing, or intimidating anyone for any reason; and
- Encourage or enable any other individual to do any of the foregoing.
Dash2Grow is not obligated to monitor access to or use of the Services or to review or edit any content. However, we have the right to do so for the purpose of operating the Services, to ensure compliance with these Terms and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any content, including User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider it objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Services. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.
This Section is subject to our Responsible Disclosure policy. Good-faith security research carried out in accordance with that policy is authorised, is not a breach of these Terms, and we will not initiate or support legal action against you, or refer you to law enforcement, for it. Where that policy and these Terms conflict, that policy controls for that research. It is published at https://dash2grow.com/responsible-disclosure/.
9. Copyright Complaints
Dash2Grow respects the intellectual property rights of others and expects its users to do the same.
If you believe that content available through the Services infringes a copyright you own or control, email us at legal@dash2grow.com. Your notice must give us: your name, address, telephone number and email address; a statement that you are the copyright owner or are authorised to act on the owner’s behalf; identification of the work you say is infringed; identification of the material you say is infringing and where on the Services it is; a statement that you have a good-faith belief the use is not authorised by the owner, its agent or the law; a statement that what you have told us is accurate; and your signature, physical or electronic. ⚠️ Canada’s regime requires your name and address in particular, and we cannot forward a notice without them.
Where Canada’s notice-and-notice regime applies, we will forward your notice to the relevant subscriber as soon as feasible and keep the records that regime requires, as the Copyright Act obliges us to. ⚠️ Canada’s regime sets out what a notice must contain, and it does not permit a notice to include a settlement offer or a request for payment. If your notice contains one, we will tell you and give you the chance to send one without it.
Where we remove material because of a notice received under this Section, this Section’s notice and re-look apply, whatever other rights these Terms give us. We may remove or disable access to material that is the subject of a notice, and we will, in appropriate circumstances, limit, suspend or terminate the account of a user who repeatedly infringes. If we remove something of yours under this Section, we will tell you. If you believe we were wrong, reply with: your name, address, telephone number and email address; identification of what was removed and where it appeared; a statement that you believe in good faith it was removed by mistake or misidentified; and your signature. ⭐ We will send your reply to the person who complained, and unless they tell us within fourteen (14) days that they have started court proceedings about it, we may restore the material. ⚠️ This applies to removals under this Section; Section 8 describes the separate rights we reserve over content generally.
⚠️ If you knowingly and materially misrepresent that material is infringing, or that it was removed by mistake, you may be liable for the damage that causes, including costs and legal fees.
⚠️ We are not registered as a designated agent under the United States Digital Millennium Copyright Act, and nothing in this Section is an undertaking to operate that Act’s notice-and-takedown or counter-notice procedures.
10. Links to Third Party Websites or Resources
The Services may allow you to access third-party websites or other resources. We provide access only as a convenience and are not responsible for the content, products or services on or available from those resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party resources.
11. Termination
We may suspend or terminate your access to and use of the Services, including suspending access to or terminating your account, at our sole discretion, at any time and without notice to you. You may cancel your account at any time through your account settings or by emailing legal@dash2grow.com. Upon any termination, discontinuation or cancellation of the Services or your account, the following Sections will survive: 6(a), 6(b), 6(c) (only for payments due and owing to Dash2Grow prior to the termination), 6(d), 6(e), 6(f), 6(g), 7(b) (for as long as we hold the User Content, as that Section provides), 7(c), 7(e), 7(f), 7(g), 7(h), 7(i), 8, 9, 11, 12, 13, 14, 15, 16 and 17. In plain terms: closing your account does not end payment obligations you have already incurred, the licences over content still held, or the sections about disputes, liability and governing law.
12. Warranty Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DASH2GROW AND ITS LICENSORS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXPLICITLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
(A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT;
(B) ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
(C) ANY WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(D) ANY WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, RELIABILITY, OR LEGALITY OF ANY INFORMATION, CONTENT, OR AI-GENERATED OUTPUTS ON OR ACCESSIBLE THROUGH THE SERVICES;
(E) ANY WARRANTY THAT AI-GENERATED OUTPUTS ARE ORIGINAL, NON-INFRINGING, FIT FOR ANY PURPOSE, OR COMPLIANT WITH ANY APPLICABLE LAWS OR REGULATIONS;
(F) ANY WARRANTY THAT YOUR USE OF THE SERVICES OR ANY AI-GENERATED OUTPUTS WILL NOT INFRINGE THE RIGHTS OF ANY THIRD PARTY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, DASH2GROW’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
YOU ACKNOWLEDGE THAT YOU HAVE NOT RELIED ON ANY REPRESENTATION OR WARRANTY MADE BY DASH2GROW OR ANY THIRD PARTY THAT IS NOT EXPRESSLY SET OUT IN THESE TERMS.
13. Indemnity
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Dash2Grow Inc. and its licensors, affiliates, subsidiaries, officers, directors, shareholders, employees, contractors, representatives, and agents (collectively, “Dash2Grow Parties”) from and against any and all claims, actions, proceedings, demands, liabilities, damages, losses, judgments, settlements, fines, penalties, costs, and expenses (including, without limitation, reasonable legal fees and accounting fees) arising out of or in any way connected with:
(a) your access to or use of the Services;
(b) your User Content or any content you submit, post, transmit, or otherwise make available through the Services;
(c) your use of, reliance on, publication of, or distribution of any AI-generated outputs;
(d) any claim that your User Content or your use of AI-generated outputs infringes, misappropriates, or violates any third-party intellectual property rights, privacy rights, publicity rights, or other proprietary rights;
(e) your violation of these Terms or any applicable law, regulation, or third-party agreement;
(f) your actual or alleged infringement, misappropriation, or violation of Dash2Grow’s, its licensors’, or any third party’s intellectual property or proprietary rights;
(g) any harm caused by content you generated, published, or distributed using the Services; or
(h) any dispute between you and any third party.
Dash2Grow reserves the right, at your expense, to assume exclusive defence and control of any matter subject to indemnification by you. You agree to cooperate fully with Dash2Grow’s defence of such claims. You will not settle any such claim without Dash2Grow’s prior written consent.
14. Limitation of Liability
14(a) Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DASH2GROW, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, COST OF SUBSTITUTE SERVICES, INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS ARISING FROM AI-GENERATED OUTPUTS, THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE SERVICES OR ANY AI-GENERATED CONTENT, OR ANY OTHER LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH: (I) THESE TERMS; (II) YOUR USE OF OR INABILITY TO USE THE SERVICES; (III) ANY AI-GENERATED OUTPUTS YOU USE, PUBLISH, OR DISTRIBUTE; OR (IV) ANY CONTENT SUBMITTED BY YOU OR ANY OTHER USER — REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH CLAIM IS ASSERTED (WHETHER CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE) AND REGARDLESS OF WHETHER DASH2GROW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION APPLIES EVEN IF ANY LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
14(b) Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DASH2GROW’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU ACTUALLY PAID TO DASH2GROW FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
14(c) Essential Basis
THE EXCLUSIONS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION 14 ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN DASH2GROW AND YOU AND REFLECT A FAIR ALLOCATION OF RISK. THE FEES FOR THE SERVICES REFLECT THIS ALLOCATION OF RISK, AND DASH2GROW WOULD NOT PROVIDE THE SERVICES ON THESE TERMS WITHOUT THESE LIMITATIONS. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
14(d) No Liability for AI Outputs or Third-Party Claims
WITHOUT LIMITING THE FOREGOING, DASH2GROW SHALL HAVE NO LIABILITY WHATSOEVER FOR: (I) ANY INTELLECTUAL PROPERTY INFRINGEMENT, INCLUDING COPYRIGHT INFRINGEMENT, ARISING FROM OR RELATED TO AI-GENERATED OUTPUTS; (II) ANY HARM CAUSED BY CONTENT YOU GENERATED, PUBLISHED, OR DISTRIBUTED USING THE SERVICES; (III) ANY CLAIM BY A THIRD PARTY ARISING FROM YOUR USE OF AI-GENERATED OUTPUTS; OR (IV) THE ACCURACY, LEGALITY, OR FITNESS FOR PURPOSE OF ANY AI-GENERATED OUTPUT. YOU ASSUME SOLE AND COMPLETE RESPONSIBILITY FOR ALL SUCH RISKS.
14(e) Exceptions Required by Law; Savings
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for death or personal injury caused by negligence. If any exclusion or limitation in Sections 12, 13, or 14 is held unenforceable, it will apply to the maximum extent permitted by law and the remainder of these Terms will continue in full force and effect. To the extent you are a consumer under applicable consumer-protection law (for example, Ontario’s Consumer Protection Act, 2002, the consumer-protection and unfair-contract-terms rules of the European Union, the United Kingdom, or a European Economic Area member state, or the consumer-protection laws of a United States state), nothing in these Terms limits, excludes, or waives any right, remedy, warranty, guarantee, or protection you have under that law that cannot be limited, excluded, or waived by agreement, and in the event of a conflict those non-waivable rights prevail over these Terms.
15. Governing Law and Forum Choice
These Terms and any action related thereto shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws provisions.
Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity of them, or to your use of the Services (a “Dispute”), will be brought in the courts of competent jurisdiction located in the City of Ottawa, Ontario, Canada. You and Dash2Grow each irrevocably consent to the jurisdiction and venue of those courts and waive any objection to venue there. That choice is exclusive, subject to Section 16.
Savings clause. Nothing in this Section or in Section 16 deprives you of the protection of any mandatory rule of the law of your country or state of residence. Where you are a consumer and the mandatory law of your place of residence gives you the right to bring or defend proceedings in the courts of your home jurisdiction, or the right to the protection of the mandatory consumer-protection laws of that jurisdiction (as is common in the European Union, the United Kingdom, and elsewhere), nothing in these Terms deprives you of that right or those protections. To the extent mandatory local law requires that a different governing law or forum apply to you, this Section and Section 16 are modified only to the minimum extent necessary to comply with that law, and the remainder of this Section and of these Terms continue in full force and effect.
16. Disputes
16(a) How a Dispute is resolved
Disputes are resolved in court. Section 15 names the courts, and both of us agree to use them. There is no mandatory arbitration under these Terms, and neither of us gives up any right to bring a claim as part of a class or representative proceeding, or any right to a jury that the court hearing the Dispute makes available.
Nothing in this Section stops you and Dash2Grow agreeing, at the time a Dispute arises and in writing, to resolve it some other way — by mediation or arbitration, for example. ⚠️ Neither of us has to agree to that, and nothing here commits you to it in advance.
16(b) Small claims
Either party may bring a Dispute in a small claims court that has jurisdiction over it, if the claim qualifies under that court’s rules, and Section 15’s choice of court does not prevent that.
16(c) Urgent and injunctive relief
Either party may ask a court of competent jurisdiction for injunctive or other equitable relief — including to prevent or stop the infringement or misappropriation of intellectual property rights, to preserve evidence, to protect confidential information, or to prevent imminent harm to personal data or to the security of the Services — without waiting for any other step in this Section.
16(d) Consumers
If and to the extent you are a consumer whose rights under applicable consumer-protection law (for example, Ontario’s Consumer Protection Act, 2002, the consumer-protection or unfair-contract-terms rules of the European Union, the United Kingdom, or a European Economic Area member state, or the consumer-protection laws of a United States state) cannot be waived by agreement, nothing in Section 15 or this Section denies you a non-waivable right or remedy. A Dispute may be brought in the courts identified in Section 15 or in any other court that applicable mandatory law entitles you to use, including, where that law so provides, the courts of your place of residence.
16(e) Severability
If any provision of Section 15 or this Section is found to be invalid or unenforceable, it will be enforced to the maximum extent permissible and the rest continues in full force and effect, as Section 17(b) provides. ⚠️ A finding that a provision does not apply to you as a consumer does not affect its enforceability for other users, including businesses.
17. General Terms
17(a) Reservation of Rights; No Ownership of AI Outputs
Dash2Grow and its licensors exclusively own all right, title, and interest in and to the Services and the underlying software, systems, and infrastructure, including all associated intellectual property rights. You acknowledge that the Services are protected by copyright, trademark, and other laws of Canada and foreign countries.
Dash2Grow does not own, and expressly disclaims any ownership of, any AI-generated outputs produced through the Services. Ownership of AI-generated outputs, to the extent any ownership exists, is determined solely by the terms and policies of the applicable AI Providers whose models generated the output (including but not limited to Anthropic PBC and OpenAI LLC, and other AI Providers we may use from time to time). Dash2Grow makes no representation that any AI-generated output is original, non-infringing, or capable of being owned by any party. You are solely responsible for determining what rights, if any, you have in AI-generated outputs and for complying with all applicable laws and third-party terms regarding such outputs.
You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services.
17(b) Entire Agreement
These Terms, together with the Privacy Notice, our Responsible Disclosure Policy, and any supplemental terms we publish for a particular feature (including our Building Block Library Terms), which are incorporated into these Terms by reference, constitute the entire and exclusive understanding and agreement between Dash2Grow and you regarding the Services, and these Terms supersede and replace all prior oral or written understandings or agreements between Dash2Grow and you regarding the Services. Where supplemental terms conflict with these Terms on a matter they cover, the supplemental terms control for that matter. ⚠️ We will tell you about a material change to supplemental terms the same way we tell you about a change to these Terms (see the top of this document and Section 3). If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without Dash2Grow’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Dash2Grow may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
17(c) Notices
Any notices or other communications provided by Dash2Grow under these Terms will be given: (i) via email; (ii) by posting to the Services; or (iii) where you have withdrawn your consent to electronic communications under Section 17(k), by post to the most recent address you have given us. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
17(d) Waiver of Rights
Dash2Grow’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Dash2Grow. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
17(e) Force Majeure
Dash2Grow will not be liable for any delay in or failure of performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labour disputes, failures or interruptions of the internet, telecommunications, hosting or other third-party services (including AI Providers and payment processors), power failures, government actions, or cyberattacks.
17(f) No High-Risk or Professional-Advice Use
The Services and any AI-generated outputs are provided for general business purposes only and are not professional advice. You must not rely on the Services or their outputs for legal, medical, financial, tax, or other regulated decisions without independent review by a qualified professional, and you must not use the Services in any situation where their failure or inaccuracy could lead to death, personal injury, or severe physical, environmental, or property harm.
17(g) Anti-Spam and Marketing Compliance
If you use the Services or any outputs to send commercial electronic messages or to conduct marketing, you are solely responsible for complying with all applicable laws, including Canada’s Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act, the EU ePrivacy Directive and General Data Protection Regulation (GDPR), the Consumer Protection Act, 2002 (Ontario), and other applicable consumer-protection and privacy laws, including obtaining all required consents and providing required sender identification and unsubscribe mechanisms. You will indemnify the Dash2Grow Parties for any claim arising from your failure to do so.
17(h) Third-Party Beneficiaries
The disclaimers, limitations of liability, indemnities, and releases in these Terms are intended to benefit, and are enforceable by, Dash2Grow Inc. and each of the Dash2Grow Parties (including its shareholders, directors, officers, employees, contractors, licensors, and agents), each of whom may rely on and enforce those provisions as if a party to these Terms. Dash2Grow enters into these Terms on its own behalf and as agent and trustee for the benefit of those persons. Except as stated in this Section, these Terms do not create any third-party beneficiary rights.
17(i) Business Use; Authority
The Services are designed and offered for business and professional use. You represent that you are using the Services for business purposes and, if you are acting for an organization, that you are authorized to bind it. This representation does not remove any non-waivable statutory right you may have as a consumer.
17(j) Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and Dash2Grow, and neither party may bind the other.
17(k) Electronic Communications, Records, and Signatures
You consent to receive communications from Dash2Grow in electronic form, and you agree that all terms, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that they be in writing. You agree that your electronic acceptance of these Terms (including by clicking to accept, creating an account, or accessing or using the Services), and any other action you take electronically to indicate agreement, have the same legal effect, validity, and enforceability as a handwritten signature, to the fullest extent permitted by applicable law, including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), Ontario’s Electronic Commerce Act, 2000 and equivalent legislation in other Canadian provinces, and the EU eIDAS Regulation. You may withdraw your consent to receive communications electronically by contacting legal@dash2grow.com, but doing so may prevent you from using some or all of the Services.
17(l) Beta and Preview Features
From time to time we may offer features, Building Blocks, or portions of the Services that are identified as beta, preview, early access, experimental, or similar (“Beta Features”). Beta Features are provided “as is” and “as available,” may be changed, suspended, or discontinued at any time, and may be less reliable or complete than generally available features. To the maximum extent permitted by applicable law, the warranty disclaimers and limitations of liability in Sections 12 and 14 apply fully to Beta Features, and we make no representation that any Beta Feature will be released for general availability. Any non-public information you receive about Beta Features, or about other non-public aspects of the Services, is confidential, and you agree not to disclose it to any third party without our prior written consent until we make it public.
17(m) Third-Party Services, Integrations, and Connected Accounts
The Services may interoperate with, or allow you to connect, third-party products, services, applications, or accounts (including AI Providers, payment processors, and any integrations you choose to enable) (“Third-Party Services”). Your use of a Third-Party Service, and any exchange of data between you, the Services, and that Third-Party Service, is governed by the Third-Party Service’s own terms and privacy practices, not these Terms. We do not control and are not responsible for Third-Party Services, and making a Third-Party Service available or supporting a connection to it is not an endorsement. If you connect a third-party account, you authorize us to access and use that account as reasonably necessary to provide the Services, and you represent that you have the right to grant that access. We may suspend, limit, or disable any integration at any time.
17(n) Export Controls and Economic Sanctions
You must comply with all applicable export control, trade, and economic sanctions laws, including those of Canada, the United States, and any other applicable jurisdiction. You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of any country or territory subject to comprehensive government sanctions or embargo; that you are not identified on any government list of prohibited, denied, or restricted parties; and that you will not access, use, export, re-export, or make the Services (or any Generated Content) available in violation of any such laws. You will not use the Services for any end use prohibited by applicable export control or sanctions laws.
17(o) Publicity
Unless you tell us otherwise, you grant Dash2Grow a non-exclusive, royalty-free right to identify you as a user or customer of the Services and to use your name and logo for that purpose on our website and in our marketing materials, consistent with any brand guidelines you provide to us. You may opt out of this use, or ask us to stop, at any time by emailing legal@dash2grow.com, and we will cease new uses within a reasonable time. Except as set out in this Section, neither party may make any public statement about the other, or use the other’s name, logo, or trademarks, without the other’s prior written consent.
